TERMS OF SERVICE

Welcome to the ConnectedMD website (the “Site”). ConnectedMD (“CMD,” “we,” “our,” or “us”) provides this Site and related services (collectively, the “Services”) subject to the following Terms of Service (“Terms”).

By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, discontinue use immediately.

I. Changes to These Terms

CMD reserves the right to modify these Terms at any time. Updates will be effective upon posting. Continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms. The date of last update will be posted at the top of this page.

II. Scope of Services

CMD provides technology and communication services to healthcare providers and other business clients.

A. Business Users

If you are accessing the Site or Services on behalf of a company or healthcare provider, you represent that you have authority to bind that entity to these Terms.

B. Patients

If you are a patient of a healthcare provider that uses CMD’s Services:

  • CMD acts solely as a service provider (Business Associate) to your healthcare provider.

  • CMD does not independently control your Protected Health Information (PHI).

III. Acceptable Use

You agree not to:

  1. Use the Site for unlawful purposes.

  2. Attempt unauthorized access to accounts, systems, or networks.

  3. Interfere with Site functionality.

  4. Upload malicious code.

  5. Submit false or misleading information.

  6. Use the Services to transmit unlawful or abusive content.

Violation may result in termination of access.

IV. Intellectual Property

All Site content, including text, graphics, logos, software, and design elements, is owned by CMD or its licensors and protected by intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works without prior written consent.

V. Business Associate Status & HIPAA

When providing services to healthcare providers:

  • CMD acts as a Business Associate under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”).

  • CMD processes Protected Health Information only as permitted under applicable Business Associate Agreements (“BAAs”).

  • The healthcare provider remains the Covered Entity responsible for patient care decisions and regulatory compliance.

Nothing in these Terms modifies or supersedes obligations contained in any executed BAA.

VI. SMS Communications, Terms, and Conditions

By providing a mobile phone number through the Site, a patient form, or other submission method, you consent to receive SMS communications from CMD related to:

  • Job applications or interview scheduling

  • Service-related updates

  • Appointment reminders

  • Account notifications

Message frequency may vary. Standard messaging and data rates may apply.

You may OPT OUT at any time by replying STOP.

Important Notice Regarding SMS and PHI

Standard text messaging may not be encrypted. By consenting to SMS communications through your healthcare provider, you acknowledge the potential risks associated with unencrypted text messaging.

CMD transmits patient-related messages only as directed by the applicable healthcare provider.

CMD does not sell or share SMS opt-in data for third-party marketing purposes.

VII. Third-Party Services

CMD may use third-party vendors to provide hosting, analytics, messaging delivery, or other infrastructure services.

CMD is not responsible for third-party websites linked from the Site. Use of third-party services is governed by their respective terms and policies.

VIII. Medical Advice

CMD provides remote patient monitoring, chronic care management, and communication support services on behalf of licensed healthcare providers.

All clinical services are delivered pursuant to agreements with healthcare providers, and under their direction and supervision.

CMD does not independently diagnose medical conditions, prescribe medications, or establish treatment plans outside the scope of provider-authorized services.

Patients should contact their healthcare provider directly for medical emergencies or urgent clinical decisions.

IX. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

CMD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

  • ACCURACY OR COMPLETENESS

CMD DOES NOT GUARANTEE UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION.

X. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

CMD SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM:

  • USE OR INABILITY TO USE THE SITE OR SERVICES

  • UNAUTHORIZED ACCESS

  • INTERRUPTION OF SERVICE

  • ERRORS OR OMISSIONS

TOTAL LIABILITY SHALL NOT EXCEED $1,000 OR THE AMOUNT PAID BY YOU FOR SERVICES IN THE PRECEDING TWELVE (12) MONTHS, WHICHEVER IS GREATER.

Nothing in this section limits liability that cannot be excluded by law or limits obligations under HIPAA where applicable.

XI. Indemnification

You agree to indemnify and hold harmless CMD and its officers, employees, agents, and affiliates from claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from:

  • Your misuse of the Site or Services

  • Your violation of these Terms

  • Your violation of applicable laws

  • Content you submit

XII. Termination

CMD may suspend or terminate access at any time for:

  • Violations of these Terms

  • Security concerns

  • Legal requirements

  • Business reasons

Termination does not affect rights or obligations that accrued prior to termination.

XIII. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Alabama, without regard to conflict of law principles.

Any dispute shall be brought exclusively in courts located in Montgomery County, Alabama.

You waive:

  • Objections to jurisdiction

  • Claims of inconvenient forum

  • Participation in class or collective actions

Claims must be brought within six (6) months after the cause of action arises.

If CMD prevails in a dispute, it may recover reasonable attorneys’ fees and costs.

XIV. Privacy

Your use of the Site and Services is governed by our Privacy Policy, including:

  • Non-PHI data handling practices

  • Patient Information & HIPAA Compliance section

By using the Services, you acknowledge and agree to the Privacy Policy.
